LEGAL NOTICE & BINDING CONTRACT

This Terms of Service agreement ("Terms") is a legally binding contract between STAGENTICX Inc. ("STAGENTICX", "Company", "we", "us") and the individual or entity ("Host", "Planner", "User", or "Subscriber") accessing or using our interactive webinar orchestration platform, APIs, mobile applications, and associated services (collectively, the "Services"). 1. Acceptance of Terms & Eligibility

1.1 Binding Agreement: By clicking "I Agree", signing up for a STAGENTICX account, scheduling an event, or processing payments through the Services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

1.2 Authority: If you are entering into these Terms on behalf of a company, organization, or corporate entity, you represent and warrant that you have the legal authority to bind such entity to these Terms.

1.3 Age Requirement: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to create a Planner account or process monetized ticket transactions.

2. Description of Services & Subscription Tiers

2.1 Platform Overview: STAGENTICX provides a multi-tenant, cloud-based webinar orchestration engine featuring:

  • Universal Bring-Your-Own-Provider (BYOP) stream integration (Zoom, Google Meet, YouTube Live, Microsoft Teams).
  • Async Branching Video Micro-Experiences ("Choose Your Own Adventure" player).
  • LiveKit WebRTC streaming & Ingress server-side track switching.
  • Interactive AI Voice Co-Hosts & Presenter Copilot HUD.
  • 24/7 Persistent Digital Twin Rooms.
  • Automated WhatsApp DM Micro-Clip delivery (Meta Cloud API BYO-WABA).
  • Built-In Audience Lead CRM & Contact Analytics.

2.2 Subscription Tiers:

Starter / Free Plan

Basic webinar orchestration (up to 100 attendees), standard landing pages, and ticket sales functionality. Displays mandatory "Powered by STAGENTICX" watermark.

Pro Plan ($29/mo)

Increased attendee capacity (500 attendees), watermark removal, Rich Multi-Media Builder, and 0% platform ticket fees.

Growth Plan ($79/mo)

Increased attendee capacity (2,000 attendees), custom domain routing (events.plannercompany.com), and dedicated IP email pools.

Tech-Savvy / Enterprise AI Plan ($299/mo+)

Async Branching Video, LiveKit AI Voice Co-Hosting, 24/7 Digital Twin Hubs, and Meta WABA Embedded Signup.

3. Financial Terms, Stripe Connect & Ticket Sales

3.1 SaaS Subscription Billing: Subscriptions are billed in advance on a recurring monthly or annual basis. Payments are non-refundable except as explicitly required by law.

3.2 Paid Ticket Monetization & Stripe Connect:

  • Planners may sell paid tickets to their events via integrated Stripe Connect Express or Razorpay accounts.
  • Free Plan Ticket Commission: For Planners on the Starter/Free Plan, STAGENTICX automatically assesses a 5% platform application fee per paid ticket transaction, deducted at the time of purchase via Stripe Connect.
  • Pro / Growth / Enterprise Ticket Commission: Planners on active Pro, Growth, or Enterprise plans are subject to a 0% STAGENTICX platform application fee (Standard Stripe/Razorpay processing fees still apply).

3.3 Chargebacks & Refunds: Planners are solely responsible for managing attendee refund requests, disputes, and chargebacks. STAGENTICX reserves the right to debit the Planner's connected Stripe account or invoice the Planner directly for chargeback fees incurred due to unresolved attendee disputes.

4. Acceptable Use Policy & Content Ownership

4.1 Content Ownership: As between STAGENTICX and the Planner, the Planner retains full ownership of all video recordings, slides, logos, text, and media materials ("User Content") uploaded or broadcasted through the Services.

4.2 License to Host: Planner grants STAGENTICX a worldwide, non-exclusive, royalty-free license to host, transcode, store, stream, and display User Content solely for the purpose of operating and delivering the Services.

4.3 Prohibited Content & Broadcasts: Planners shall NOT host, stream, or distribute content that is illegal, defamatory, fraudulent, obscene, infringes third-party intellectual property, contains malware, or violates privacy regulations.

4.4 DMCA & Copyright Takedowns: STAGENTICX complies with the Digital Millennium Copyright Act (DMCA). We reserve the right to suspend or terminate accounts found to be repeat infringers.

5. AI Co-Host & Artificial Intelligence Disclaimer

5.1 AI Assistance Acknowledgment: The platform includes AI-assisted features (Interactive AI Voice Co-Host, Presenter Copilot HUD, real-time web search synthesis). Planner acknowledges that AI outputs are generated probabilistically.

5.2 Publisher Responsibility: THE PLANNER REMAINS THE SOLE PUBLISHER OF THE WEBINAR AND IS FULLY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ALL AI-GENERATED ANSWERS OR STATEMENTS SPOKEN BY THE AI CO-HOST DURING A BROADCAST. STAGENTICX disclaims all liability for incorrect statements, hallucinations, or advice provided by the AI Co-Host.

6. WhatsApp Messaging & Meta Cloud API Compliance (BYO-WABA)

6.1 Consent & Opt-In: Planners using automated WhatsApp DM micro-clip features warrant that all attendees receiving WhatsApp messages have provided explicit, documented opt-in consent in accordance with Meta WhatsApp Business Policies and applicable telecommunications regulations (e.g. TCPA).

6.2 Meta Terms Compliance: Planners using Meta Cloud API Embedded Signup (BYO-WABA) must comply strictly with Meta Terms of Service. STAGENTICX is not liable for WhatsApp account bans, message template rejections, or Meta API suspensions resulting from Planner policy violations.

7. Data Privacy, Lead CRM & Attendee Data Processing

7.1 Data Processor Role: In relation to attendee PII (Name, Email, Phone, Attendance Logs, Survey Answers) collected in the Built-in Mini Lead CRM, the Planner acts as the Data Controller, and STAGENTICX acts as the Data Processor.

7.2 GDPR / CCPA Compliance: Planner agrees to provide adequate privacy notices to attendees regarding data collection, CRM sync, and post-event follow-ups.

8. Service Level Agreement (SLA) & Platform Isolation

8.1 Uptime Commitment: STAGENTICX endeavors to maintain a 99.9% service uptime for core registration, calendar generation, and join redirect services.

8.2 Third-Party Dependencies: STAGENTICX is not responsible for stream interruptions or outages caused by third-party providers (e.g. Zoom, Google Meet, AWS SES, Stripe, LiveKit Cloud, or Meta).

8.3 Isolated Add-On Maintenance: STAGENTICX reserves the right to perform emergency maintenance or pause optional add-on modules (e.g. WhatsApp DM engine, AI Co-Host) without breaking core SaaS registration and redirect SLAs.

9. Limitation of Liability & Indemnification

9.1 DISCLAIMER OF DAMAGES: IN NO EVENT SHALL STAGENTICX INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE SERVICES.

9.2 MAXIMUM LIABILITY CAP: THE TOTAL AGGREGATE LIABILITY OF STAGENTICX FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY THE PLANNER TO STAGENTICX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3 Indemnification: Planner agrees to defend, indemnify, and hold harmless STAGENTICX Inc. from any third-party claims, liabilities, losses, or legal fees arising out of Planner's broadcast content, attendee disputes, paid ticket refunds, or violation of applicable laws.

10. Governing Law & Dispute Resolution

10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware (or your jurisdiction of incorporation), without regard to its conflict of law principles.

10.2 Binding Arbitration: Any legal dispute arising under these Terms shall be resolved through binding individual arbitration under the rules of the American Arbitration Association (AAA), rather than in court.
